Overview

As an independent director (An independent director (also sometimes known as an outside director) is a director (member) of a board of directors who does not have a material or pecuniary relationship with company or related persons, except sitting fees.) The director is charged with acting as a guide to the company, improving corporate credibility and governance standards by working as a steward in managing risk, offering an objective view. The director’s role is to challenge the direction and performance of the company and the existing management team.

We will discuss what it means to be held liable for decisions that were made by the board, how boards can protect themselves via process, due diligence and insurance.
