Every corporation has a statutory Board of Directors. In some companies the Board of Directors consists of the Founder, the Founding Team or Family and frequently the Board meetings are solely a mechanism of providing information to the Shareholders. Evolving the Board from an obligation to a strategic asset can have a dramatic impact on the success of the organization. But how to start and what to expect? In this webinar we will discuss the steps of formalizing the Board, creating a relationship between the Shareholders, the Board and the Leadership Team, the decision to add Independent Directors and maximizing the value of the Board. Your presenters include Stephanie Olexa, PhD, MBA, a Governance Professional and an Independent Director who specializes in helping companies build and evolve their Boards and Scott Lynett, Esq. a 4th generation Shareholder and Director of Times Shamrock Communications, Inc. Times Shamrock, founded in 1895 and located in Scranton, Pa., is a media company with assets in newspapers, radio stations, billboards and digital communications. In 2009 Scott and his three cousins took over the leadership of the business as four co-CEOs, a unique arrangement. However, in 2019 the cousins decided to exit the business, bring in a non-family CEO and to evolve their board from family-only to a majority of Independent Directors. Scott will describe their governance journey and the lessons they learned.

Scott Lynett, Esq is a 4th generation owner and Director of his family’s business, Times Shamrock Communications. He spearheaded the evolution of his family’s business Board from a family only Board to a Board with a majority of Independent Directors. Scott is an attorney with over 20 years experience working in and leading privately-held businesses from 20 to over 1,000 employees. He has a BA degree from Boston College, a JD degree from Goergetown University and an MBA from Villanova University. Currently he is an attorney with Legacy Planning, a firm dedicated to helping families and businesses create long term solutions.

Lawrence Dillon

Lawrence Dillon is the Chief Executive Officer (CEO) of ENKI, LLC, a global business transformation consulting firm.  He is also the President and Founder of the Greater Philadelphia Chapter of the Private Directors Association, a national non-profit, a Board of Advisor to Cabrini University Business School, and a Board of Advisor to PieMatrix, a global SaaS software company.

Lawrence is an accomplished transformational executive who quickly assess and improves complex business operations and the technology platforms upon which they are built. He and his team help clients such as United Healthcare, Rogers Telecom, HSBC, State Farm, Garrett Brands, the University of The Pacific, Neumann University, and others define business and IT improvement opportunities and then they lead the hands-on execution of the strategic initiatives, with client team members, to achieve the business and IT optimization envisioned.

Prior to ENKI, Lawrence was a Corporate Vice President, Chief Operating Officer and Chief Information Officer for RS Medical, Corporate Vice President and Chief Information Officer for Aramark Healthcare and Facilities Management, Chief Enterprise Architect, Health Care Service Corporation (BCBS of IL, MO, NM, OK, and TX), and a global management consultant for E&Y, AT Kearney, Lante, and BroadVision along with being the youngest person in Texaco’s history to be invited into the executive training program.  Lawrence started his career with a software company that broke new ground in client/server ERPs in 1986 and designed new solutions that transformed the business use of technology, saving companies $ billions before he was 30 years old.  Lawrence is a founded of five different professional networking groups designed to help others grow their careers and to help companies find great employees. 

Lawrence has an AS in Computer Science and a BS in Business Management from Keene State College in NH, and an MBA in Finance and Marketing from The University of Connecticut. Lawrence also studied International Economics at Shiller International in London England. He is a fully licensed residential insurance producer in the state of Pennsylvania and has earned a certification by Harvard Law School in Negotiations and dealing with difficult people. In his spare time, he took a 40-hour training program to obtained an Auto Racing certificate from the Audi Race Car Driving School.

Lawrence, his wife Sondra, and one of their three children live in Admore, PA. The two older children are in college. All enjoy traveling the world with special memories of vacations where the family can ski, hike, fish, and mountain bike.
