Overview

The role of an independent director on a private company board is challenging and complex. The board member is not a major shareholder, company founder, or senior leader. The director is supposed to provide judgement, guidance, and governance review independent of the major interests on the board. The roles and responsibilities of the independent director are the topic of this program.

Value to Audience

The audience will learn from directors who serve as independent directors how they can be influencers on a board when they do not have a power position on the board. The audience will also learn what the company CEO and other board members expect from the independent director.

Key Takeaways

The independent director serves as:

  • A resource with access to sources outside the company.

  • An advisor and counselor to the board and company leadership

  • A facilitator and intermediary within the board

  • A reality checker, boundary setter, and the one asking we are doing the right thing

  • The asker of difficult questions
