Overview

Compliance, data privacy, and cybersecurity risks top the list of many private and public boards of directors' most pressing concerns. Enhancing adaptive 'risk-informed' governance enables boards to provide more impactful guidance and oversight. These risks can contribute to an organization's strategic advantage when managed effectively. Communicating with management about the types of information required by the board to minimize deviation from expected outcomes has become crucial for every board. If risk and opportunities are indeed two sides of the same coin, how an organization approaches disruptive forces and events can either create or eliminate long-term value.

Panelists

David Vetter has over 30 years of legal experience. For the last 26 years, he has led the legal team at TD SYNNEX (formerly Tech Data Corporation), currently serving as executive vice president, chief legal officer. In that role, David is a member of the executive management team reporting to the CEO. David oversees the legal department, corporate secretary function, ethics & compliance department, and regulatory compliance department.

David focuses on transformative change to the function's value delivery approach, corporate governance matters, major litigation, department administration, M&A, special projects and international legal matters. He also provides legal expertise in such strategic initiatives as mergers & acquisitions, business integration, enterprise risk, and business strategy.
Prior to TD SYNNEX, David was a partner at the law firm of Robbins, Gaynor & Bronstein, PA in Florida. He is a member of The Florida Bar and holds Bachelor of Arts degrees in both English and Economics from Bucknell University. He received his Juris Doctor degree with high honors from the University of Florida where he was Senior Management Editor of Law Review, a member of the Order of Coif, Phi Beta Kappa, and was awarded the Julius F. Parker scholarship as the outstanding graduate for his graduating year. David is currently a member of the board of trustees of Academy Prep Center of St. Petersburg and David is a member of the Board and Executive Committee of the St. Petersburg Area Chamber of Commerce.

Linda Rush is a seasoned privacy and technology attorney. She is currently the Chief Privacy Officer leading the privacy function for TD SYNNEX Corporation, a multinational distribution company specializing in IT products and services with headquarters in Clearwater, FL. She is responsible for the development, implementation and management of the enterprise-wide privacy program and legal aspects of the information governance program. Her focus is on managing the diverse legal and regulatory requirements for a business processing personal data as part of TD SYNNEX multi-national operations.

Prior to joining TD SYNNEX, she was Privacy Officer for Avis Budget Group, Inc. She has been practicing law for thirty years and has been leading data protection and privacy functions for over fifteen years. She is a member of the New York and New Jersey Bars and is an authorized house counsel for the Florida Bar. She maintains her CIPP certifications for the United States and Canada and Privacy Management and is also a designated Fellow of Information Privacy. She is a former co-chair of the 'APP NJ KnowlegeNet and has been actively speaking about privacy and data protection matters for the ACC, 'APP, NJ Bar, NJ & FL ARMA, and other similar organizations.

Dan Lasher is the Chief Information Security Officer with TD Synnex, formerly known as Tech Data Corporation, a global high-tech distributor with annual sales of $60 billion with operations in 110 countries. Dan is an innovative leader and has built a high-performance organization focused on the strategy and execution of Identity and Access Management, Cyber Defense, Third-Party Risk Management, Information Protection and

Management, Incident Response, Red Teams, Penetration Testing, DevSecOps, Security Awareness, IT Governance, Enterprise Architecture, and standards enforcement. Throughout Dan's 29 years with the organization, he has also led the innovation of Digital Commerce, Technology and Operations, and Cloud Marketplaces, performed data center migrations, and technical integration from numerous M&A opportunities. Dan serves in many community organizations including Exploratory Labs and various CISO user groups. He also serves on the board of directors for the Tampa Bay Technology (T B T), serves on the advisory board for the University of South Florida, and as a director for the FBI Infragard Tampa Charter. Dan holds a number of certifications in enterprise architecture, cybersecurity, and technical practice areas. Dan was awarded Tampa Bay's Technology Leader of the Year in 2019. 

Joe Swanson is a former federal prosecutor who advises clients on a variety of issues related to cybersecurity and privacy. He routinely investigates and responds to data breaches, ransomware attacks, phishing attacks, business email compromises, wire diversion schemes, and similar cyber incidents. These engagements frequently involve coordination with cyber insurance carriers. Joe also represents clients in litigation, including class actions, and regulatory inquiries stemming from those cyber incidents.

In addition, Joe advises on best practices for interacting with law enforcement, regulators, contract parties, and other constituencies in the event of a cyber incident. Joe also assists clients with drafting incident response guides and related cyber policies and procedures, as well as complying with privacy laws and regulations, such as the EU General Data Protection Regulation, HIPAA, the California Consumer Privacy Act, and other state statutes. Joe also advises clients on cybersecurity and privacy issues in connection with due diligence related to investments and other corporate transactions. Joe also defends companies, executives, and directors in shareholder litigation and high-stakes commercial litigation, including class actions, in federal and state court. These matters have included securities claims, trade secret disputes, claims for breach of fiduciary duty, and claims for fraud and unfair and deceptive trade practices. Before joining the firm, Joe served as an Assistant U.S. Attorney (AUSA) in the Criminal Division of the U.S. Attorney's Office for the Middle District of Florida. This experience provides the foundation for his practice. As an AUSA, Joe investigated and prosecuted a broad range of offenses, including computer/privacy crimes, obstruction of justice, tax fraud, mortgage fraud, and money laundering. He tried seven cases to verdict and handled hundreds of hearings and other proceedings on behalf of the government.

He also served as the Computer Hacking and Intellectual Property (CHIP) Coordinator in Tampa, where he advised other prosecutors on investigative techniques involving internet and email providers, computers, websites, and other electronic evidence. In 2017—2018, Joe was appointed by the U.S. District Court for the Middle District of Florida to chair three merit selection panels that recommended appointments for federal magistrate judge positions. He leads the firm's Cybersecurity and Privacy Practice.

Jeff Sauntry is the CEO of Risk Neutral and the Co-President of the Private Directors Association Tampa Bay Chapter.
