Overview

The goal of the session is to highlight some key corporate governance issues that ESOP Boards / Companies may face when setting up a new board or adding members to an existing board.  We plan to cover various topics ranging from board formation & agendas to interaction with financial & trustee.  The session is intended for companies considering an ESOP as a transition alternative, or newly formed ESOPs looking to develop a board.  We hope to highlight the role that a board should have in creating shareholder value and resources that are available to help existing and prospective ESOP companies in creating a board.  

We will have a 15 minute breakout session at the end of the presentaion.

Amy Schuster

Amy Schuster is a Managing Director for the ESOP Solutions team in Chicago. Amy has 7+ years of experience advising companies and business owners on all aspects of ESOP transactions from financing structures to valuation to transaction design and cumulative almost 20 years of banking experience. Amy provides subject matter expertise on ESOP transactions as an ownership transition tool and liquidity solution and functions as a resource both internally to PNC and externally to PNC clients and prospects advising on all aspects of lending to an ESOP-owned company.

Prior to joining PNC in May of 2019, Amy most recently served as a Senior Vice President with Fifth Third Bank's ESOP Finance Group. Before joining the ESOP Finance team, Amy served as Regional Chief Financial Officer of Fifth Third Chicago where she was nominated for Chicago Business 40 under 40 for her ability to help the region with strategic planning.

Amy received her B.A. in Finance and Marketing from the Wartburg College. She holds the FINRA Series SIE and 63 licenses. She is a member of the National and Regional ESOP Associations, a member of the ESOP Association's Finance Committee, a member of the National Center for Employee Ownership, Is on the Illinois ESOP association membership committee, and ESCA (Employee-Owned S Corporations of America).

           

Martin Staubus

Martin Staubus recently retired from a career as a business advisor specializing in ESOPs and related employee ownership matters.  He currently serves in the following director capacities:   *   Chairman of the Board of Directors, Environmental Science Associates, Inc., San Francisco, CA     *   ESA is an environmental consulting firm with operations throughout the west coast and Florida.  The firm is 100% ESOP-owned.  2021 revenues were approximately $100M; employee count is approximately 500.     *   Martin served for 10 years as chair of the governance and nominating committee     *   Chairman of the Board of Directors, Vantage Associates, Inc, Santa Fe Springs, CA     *   Vantage Associates is a manufacturer of specialized parts for the aircraft production industry.  The firm is 100% ESOP-owned.  2021 revenues were approximately $18M. From 2001 until his 2020 retirement, Martin served as a senior consultant with the Beyster Institute, a center of expertise in employee ownership based at the Rady School of Management, University of California San Diego.  In that capacity he advised hundreds of companies on the design, implementation, and operation of ESOPs.  From 2015 through 2020, he was the Executive Director.  Prior to joining the Beyster Institute, Martin served as VP of human resources for a Silicon Valley-base company; an attorney in private practice with a focus on ESOPs; and a policy analyst with the US Department of Labor in Washington DC. Trained as an attorney and MBA, Martin continues to teach courses on ESOP company corporate governance and high-performance business practices at UC San Diego.  He is nationally recognized as a leading expert in the field of ESOP company corporate governance. Dan McHugh

 Dan McHugh is a Senior Vice President with PNC Financial Services Group’s Middle Market Banking Group. Mr. McHugh, a Senior Corporate Banker, brings over 25 years of experience and insight to his work with the Management, Owners, and Directors of middle market companies. Dan's expertise includes commercial lending, asset based lending, and cash flow lending for public and private (Family owned, ESOP owned, and Private Equity owned) companies. Also, Dan has extensive experience financing growth, mergers and acquisitions, leveraged buyouts (both for existing management and investor groups), and recapitalizations. Dan has worked extensively with companies in the Manufacturing, Construction, Logistics, Distribution, Technology, and Services space. Previously, Mr. McHugh worked in various roles at Fifth Third Bank, Bank of America, and Merrill Lynch. Mr. McHugh earned a Bachelor of Science degree in Finance from the University of Illinois Gies College of Business and a Master of Business Administration degree from DePaul University’s Kellstadt Graduate School of Business. Additionally, Mr. McHugh has completed the Private Directors Association Board Training Program. Mr. McHugh is an active member of Financial Executives International ("FEI"), serving on the Chicago Chapter Board and its Nominating Committee, while operating as the Program Committee Chair. Also, Mr. McHugh is a founding member and Director / Executive Committee member of the Chicago Chapter of the Private Directors Association (“PDA”) and serves on the Board of E.L.I.T.E., a local not-for-profit entity.

Steve serves as a Senior Vice President in the Client Services group at Greatbanc, focusing on managing client relationships and ESOP transactions. Throughout his career, he has acted as a trusted advisor to many privately-held companies to assist them in growth initiatives, business transitions and liquidity events. Steve has helped business owners transition their business via either an internal transition (ESOP/MBO/ Family) or external (strategic/PE/ Family Office). He has over 25 years of new business and banking experience with clients throughout the country. Steve has led commercial banking teams that interact with business owners and C-level executives of private and public companies. Throughout his career, he has acted as a trusted advisor to many privately-held companies to assist them in growth initiatives, business transitions and liquidity events.

Steve frequently presents on a variety of topics including board governance, ownership transition alternatives, financing ESOPs and capital allocation in a wide variety of venues including the National Center for Employee Ownership (NCEO) The ESOP Association & The Private Directors Assoc.

Steve is a board Member on the Missouri Center for Employee Ownership and is the National ESOP Committee Chair for the Private Directors Association
