Overview

Evaluating a company's CEO is one of the most critical governance responsibilities of a board. The CEO's performance directly influences the success, culture and financial results of a company. A well designed and implemented CEO performance evaluation process can enable the board and the CEO to understand each other's expectations clearly. The board of directors must set performance standards and then objectively and fairly evaluate the CEO's performance against those standards. A panel of executives and board members will share their experience, insights and recommendations for conducting effective CEO performance reviews.

Eula Adams
Board Member GrowGeneration Corporation

 

Mr. Adams currently serves on the boards of GrowGeneration Corp, Intrado Corporation, Volunteers of America, and the Transportation Commission of Colorado. Mr. Adams served most recently as Chief Executive Officer of Neuromonics, Inc., a global medical device company providing standalone and cloud based software and hardware solutions for the treatment of tinnitus. He previously served as President and Chief Operating Officer of Xcore Corporation, a computer hardware design, assembly, and distribution company. Mr. Adams has an extensive background leading large, diverse organizations. He was Senior Vice President of Sun MicroSystems from 2004 to 2007, Chief Operating Officer of Pay By Touch and Western Union, and President of numerous divisions of First Data (now part of Fiserv) from 1991 to 2003. Within First Data, he held the positions of President of Merchant Services, President of Card Issuer Services, and President of Teleservices. Earlier in his career, from 1972 to 1991, Mr. Adams spent 19 years with Deloitte, in the greater Atlanta area and in New York City, where he was an Audit Partner. Adams holds a Bachelor of Science degree from Morris Brown College in Atlanta and a Master of Business Administration degree from Harvard University. He is a licensed Certified Public Accountant in the state of Colorado.

 

John A. Kelley

John is currently Chair and Executive Director of CereHealth. He served as their CEO from 2009 to 2021. CereHealth is an artificial/augmented intelligence software as a service brain analytics company. Because of its wealth of diverse real-world brain health data, the company recently launched its subscription based clinical and research SaaS model. This model is driven by its iLLUME Ai software platform, which collects, tracks and enables intelligent analysis of a patient’s multiple health records sources including brain imaging. Prior to serving in this capacity, he led McDATA Corporation (NASDAQ) in August 2001 as President and Chief Operating Officer and was named President and Chief Executive Officer in August of 2002. He added the position of Chairman in 2004 and maintained those roles until the acquisition of McDATA by Brocade Corporation in February of 2007.

Prior to joining McDATA, Mr. Kelley served as EVP of Networks at Qwest Communications (NYSE) from July 2000 to January 2001 after its acquisition of US West Communications. From 1995 to 2000 while at US West, he served as President of Wholesale and Interconnect Markets, senior vice president and General Manager of Large Business and Government Accounts and President of Federal Services.

Before joining US West, John worked at Mead Corporation, where he led their Southwest Division as President, as well as Vice President and General Manager for their Industrial Products Group. Prior to his assignments at Mead, he held several senior and sales management positions at Annatek, Friden-Alcatel, and Xerox Corporation.

Among his professional activities, John has been a Committee Chair of the Board of Directors of Polycom Corporation (NASDAQ), Emulex Corporation (NYSE), and Captaris (NASDAQ), and an independent board member of privately backed Circadence Corporation. He has served on the board of directors of privately held Aztek Networks, acquired by GENBAND and Stored IQ, acquired by IBM and 3Leaf Networks, acquired by Huawei.

Mr. Kelley is active in a variety of charitable boards and activities. He has been a board member of the Women’s Vision Foundation and is a mentor for women participants in their Boardbound program whose mission is to add more women to public and private boards. He has served on the Advisory Board of the Marshall School of Telecommunication’s Management at the University of Southern California, and he was appointed to the Colorado Governor’s Commission on Science and Technology in 2004. He was the executive sponsor for the US West Association of Black Telecommunications Professionals from 1998 to 2000. He has served on the Board of Directors at Mount St. Vincent Home; has been a past National Vice-Chairman for INROADS, Inc.; and has been a board member of the Association of Corporate Growth and TiE Rockies of Denver, Colorado. He has actively served and chaired a variety of projects for the American Red Cross, United Way, Special Olympics, and the Boy Scouts of America.

Mr. Kelley is a frequent keynote speaker focusing on technology, leadership, best practices management and corporate ethics. He has been asked to address such organizations as the American Association of Collegiate Schools of Business Deans; the University of Colorado Leeds School of Business; Heidelberg University in Tiffin, Ohio; Denver University School of Business; Colorado State University School of Business; Kettering University School of Management; the Communications Managers Association of America; American Electronics Association; Colorado Bioscience’s organization; and the Computer Software Industry Association of Colorado. He was honored to be awarded a Doctorate of Humane Letters in 2010 as the commencement speaker at the graduation ceremonies at Heidelberg University.

Mr. Kelley earned a Bachelor of Science degree in Business from the University of Missouri, St. Louis. He served in the United States Army from 1970 to 1972 and is a native of Missouri. John currently resides in Golden, Colorado and is married with three grown children.

           

Shannon Sisler

Shannon Sisler is a business-minded, progressive leader with a successful track record building, directing, and transforming people practices that enable success for several well-known global organizations. She is a proven executive having served as a public company leader in globally complex companies for 25+ years spanning multiple industries in all regions. She has significant experience leading large/diverse teams, serving as a Board/C-Suite advisor and creating comprehensive solutions throughout the employee lifecycle that drive outstanding business outcomes.

Over the last 15+ years, Shannon has spent significant time in the Board room for public companies and non-profit organizations. At Crocs, Western Union, and Janus she has been a regular participant in full Board strategic sessions, the Compensation Committee and Nominating/Governance Committee. She is comfortable serving in strategic advisor and management capacities and is known for being a dynamic contributor. Shannon is a subject matter expert in progressive human capital approaches, diversity/equity/inclusion and speaks often at events, leadership conferences and universities. She is an active member of NACD and in 2021 completed her NACD Directorship Certification and the Harvard Women on Boards executive education program.

Shannon earned her MBA from the University of Denver (DU) and a bachelor’s degree in Finance, from the University of Colorado (CU) at Boulder. Shannon is passionate about promoting education and advancing women/girls. She currently serves on the Board of Directors for the Girl Scouts of Colorado (GSCO), is the Board Governance Chair and recently led a successful GSCO CEO search. She also serves on the Board for the CU Leeds School of Business. After 10 years, she concluded her Director responsibilities at the Leadership Investment and completed the Ashoka Executive in Residence program volunteering for Fundación Escuela Nueva in Bogota, Colombia. Shannon has been recognized with Best in Biz 2021 HR Executive of the Year, 2020 Denver Business Journal C-Suite Award, University of Denver 2019 Steward Award and by the National/Colorado Diversity Council as one of the 2015 Most Powerful and Influential Women. Over the years, she and her teams have been spotlighted in numerous publications/conferences including Forbes, The Economist, UN Women, The Conference Board and Chief Learning Officer.

Currently, Shannon is the Executive Vice President and Chief People Officer at Crocs, a progressive footwear company. Reporting directly to the CEO, Shannon has played a critical leadership role in the turnaround of Crocs since 2017. Notable accomplishments include revenue growth from $1B to $2B+, employee engagement in the top 10% of global retailers, recent $2.5B acquisition of HEYDUDE, rightsizing the global retail footprint and accelerating digital commerce, shifting internal manufacturing to 3rd parties, designing/opening new distribution centers and global headquarters, expanding Board diversity, advancing Crocs Cares corporate social responsibility initiatives and implementing globally consistent people practices that have enabled the organization to thrive during the pandemic. Shannon has actively aligned the employment/consumer brand through inclusivity and self-expression efforts to create a culture where all employees and customers can authentically Come as You Are. Crocs has recently been recognized with the following awards: 2021 Forbes America’s Best Employer for Diversity, Fast Company's 2021 World's Most Innovative Companies and 2021 & 2022 Forbes America’s Best Midsized Employer.

Previously, Shannon served as the Senior Vice President of HR at Western Union and led large-scale business transformation efforts. Shannon was also the Vice President of Talent and Diversity at DaVita and was responsible for leading efforts to optimally select, assess, develop, and retain teammates while managing corporate social responsibility and diversity initiatives. Prior to DaVita, Shannon was the Senior Vice President and Global Head of HR at Janus Capital Group and started her career at TeleTech, Level(3) Communications and Accenture.

Shannon is married and a mother of three. She enjoys global travel personally/professionally (70+ countries) and spending time with her family in the Colorado mountains.

Sally Sommers
SMS Advisors

 

Sally Sommers heads up SMS Advisors, a global employment consulting firm which focuses on advising companies on global expansions and M&A. Previously she was the Senior Vice President and Associate General Counsel of Employment, Labor, Compensation, and Benefits for The Western Union Company. In this global, C-Suite role, she advised the Board of Directors, CEOs, and executive management at The Western Union Company on human capital management (HCM) matters, global expansions, compliance and risk management matters, and M&A for 13,000 employees in 59 countries. She also served on the ethics, diversity, equity and inclusion (DEI), and risk committees.  

Before joining The Western Union Company, Sally was Executive Corporate Counsel/Advisor to the Board of Directors and executive management at First Data Corporation responsible for global employment, labor, compensation, and benefits matters for 32,000 employees in 57 countries. Ms. Sommers began her career at Chevron Corporation in the Land Department negotiating U.S. oil and gas deals.  She later served as corporate counsel at Chevron’s coal subsidiary, providing a full range of general corporate and U.S. employment and labor legal advice. 

She is Founding Board member and Program Committee Co-Chair of the Private Directors Association, Colorado Chapter. She holds a board of trustee position with The Iliff School of Theology and serves on the DEI and Trustee Affairs Committees.  In April 2022, she completed the Women’s Directors Development Program at Northwestern University’s Kellogg School of Management. In June 2021, she completed the Women’s Corporate Board Readiness Program at Santa Clara University Leavey School of Business at the Silicon Valley Executive Center.  She is also an ACE LLE Board Program graduate.

Sally has a Juris Doctorate from Saint Louis University School of Law and a Bachelor of Arts, cum laude, in English, from the University of Notre Dame. She is a member of the State Bars of Colorado and Missouri.
