Caroline Banzali JD, LL.M.

Caroline leads the M&A Tax arm of WithumSmith+Brown’s Transaction Advisory practice, with over 20 years of experience serving strategic and private equity (PE) clients on both buy- and sell-side transactions ranging from $5M to $15B, including pre-transaction readiness, global tax due diligence, transaction tax structuring, spin-offs, reorganizations, debt and equity financing, IPOs/SPACs, as well as tax remediation and post-transaction integration services. Caroline’s experience spans all business life-cycle stages and industries, with particular focus on PE, start-ups, technology, licensing & merchandising, media & entertainment, telecommunications, real estate & hospitality, cannabis, and financial institutions.

In addition to 14 years with the “Big Four” in Los Angeles and New York, Caroline also spent a number of years as a senior industry executive, including as SVP & Head of Global Tax at a prominent Los Angeles-based private equity firm and ultra-high net worth family office with over $3.5B AUM specializing in structuring global media & entertainment, real estate, and technology investments, and also as deputy General Counsel and Head of Tax & Risk Management at a $4B EV/Tech start-up, with a global financial and operating structure encompassing IP licensing and royalties, research & development, and manufacturing activities.

A California native, Caroline earned her degree in Business Administration from the University of Southern California when she was 19 years old, and went on to earn her J.D. and LL.M. in Taxation from Loyola Law School

Mark Garmaise is a professor of finance at UCLA Anderson School of Management. Garmaise’s primary research interests are in the areas of corporate finance, real estate, entrepreneurship and banking. He holds a Ph.D. in finance from Stanford University. He is an award-winning instructor and an authority on finance, venture capital and private equity. He has received best paper awards from the Review of Financial Studies and the Review of Corporate Finance Studies.

Nicole Irvin is a Managing Director in the Global Technology, Media and Telecom Group in the Investment Banking Division at Goldman Sachs, where she leads equity execution for many of the firm's direct listings and IPOs. She joined Goldman Sachs as a Vice President in 2017 and was named Managing Director in 2019. Prior to joining Goldman Sachs, Nicole was a partner at Andreessen Horowitz, where she helped late-stage companies on their path to the public markets. Before that, she was an investment banker in Morgan Stanley’s West Coast Investment Banking Division. Her experience includes the IPOs or Direct Listings of Airbnb, Coinbase, DoorDash, Duolingo, Rivian, Roblox, Slack, Snowflake, Stitchfix, Unity Software, Warby Parker, Workday, Ziprecruiter and Zoom. Prior to Morgan Stanley, Nicole worked as a management consultant for Accenture in their Global Customer Relationship Management practice. Her work at Accenture included New York City’s greenfield 3-1-1 call center project. Nicole serves on the board of Forte Foundation, a nonprofit that helps women launch successful careers in business through education, professional development and community. Nicole earned an AB in Molecular Biology from Princeton University in 1999 and an MBA from Columbia Business School in 2008.

            

Katherine Przygode

Katherine Przygode is a tech entrepreneur, angel investor, and cloud computing expert.   Having graduated from San Francisco State University with a degree in Art History and finishing a pre-med program she decided to join the internet revolution by being the 21st employee at match.com.  Once she caught the startup bug, she gave up her future medical career for one in technology. After a long career in IT working for various Silicon Valley startups, Katherine decided to start her own company and attended the UCLA Anderson School of Management.   Upon graduation she founded Stratalux, one of the first AWS consulting and managed services partners.  As CEO she bootstrapped the company from nothing to 30 employees across two continents with $30M of top line revenue.  In 2018 she exited her company to a private equity firm which merged two other AWS partners to become Mission Cloud Services. Since then, she has been an active angel investor and advisor to various corporate boards and serves as the president of Board Connections at Anderson, the newest UCLA Anderson alumni industry group.

Beverly Cole

Beverly Cole J.D. serves as Independent Director of the Company. Ms. Cole is the Chief Executive Officer of Cole Renwick, LLC, a family-owned real estate company based in Glendale, CA. She is also an entrepreneur and consultant advising clients on U.S. real estate market investing and has been a limited partner in a number of investment funds. From 2010 to 2013, Ms. Cole worked as a safety and soundness, bank compliance and Community Reinvestment Act (“CRA”) regulator with the Federal Deposit Insurance Corporation (“FDIC”) and the Office of Thrift Supervision (“OTS”) and as a member of the structured liquidation team at the Small Business Administration (“SBA”). Prior to her government service, Ms. Cole held leadership positions at Walt Disney Company and Eastman Kodak Company. She participates in a wide range of civic and community groups, including being appointed by California Governor Jerry Brown to the California Commission on Access to Justice and by California State Insurance Commissioner Dave Jones to its Diversity Task Force, and previously served as Economic Development Director for the National Association of Women Business Owners, director of the Los Angeles Neighborhood Land Trust, and as a board member for various other non-profit and community organizations. Ms. Cole holds a B.A. in Asian Religion and Western Philosophy from Boston University, a J.D. from Fordham University, and an M.B.A. from the Wharton School at the University of Pennsylvania.
