Creating Value Through M&A – What A Director Needs To Know

A business acquisition can be a better and faster route to growing a business and creating value. Successful M&A, however, brings new risks and requires skills that may be new to many leadership teams.

At the next Cleveland PDA program, our distinguished panel will discuss how a Board should think about M&A as a growth engine and how to build an M&A process that is a repeatable disciplined skill set for consistent value creation:

    • M&A Growth Objectives: defining what will M&A achieve for the business -- industry consolidation; product line extension; new territory, new technology, etc?

    • M&A Process: what are the key elements of a disciplined M&A process: target selection criteria, valuation modeling, diligence, financing, etc?

    • Target Assessment: What are the key assumptions that support financial projections, synergies and pricing and the key risks from competition, market shifts, customer loss and regulation?

    •  Integration: How to capture value through successful business integration: leadership, capabilities, planning.
