Overview

Private company director compensation has historically been difficult to assess given the lack of data on this topic: Private companies often had to rely on public company director pay data, anecdotal information, and judgment when designing their compensation programs. To address the lack of data, Compensation Advisory Partners, an independent executive compensation consulting firm, and MLR Media, the publisher of Directors & Boards, Private Company Director, and Family Business Magazine, launched the Private Company Director Compensation and Governance Survey in 2019. In this session, a panel of CAP consultants will discuss results from the 2020 iteration of the survey and provide insights about using the survey information to improve director pay practices and governance. Bring questions and case examples to this interactive session.

Bertha Masuda is a partner of Compensation Advisory Partners LLC (CAP) in Los Angeles. She has over 20 years of experience advising Boards and top management on compensation strategy, benchmarking, planning, incentive plan design and implementation. She has worked with companies across a broad range of industries, and with companies in various stages of development, with a focus on growth and mid-cap companies. Bertha also specializes in private company executive and board compensation design, and is a frequent speaker and author on topics of interest to private and high-growth companies.

Bertha holds an M.B.A. from the Wharton School of the University of Pennsylvania and a B.S. in Business Administration from the University of California at Berkeley, where she graduated with honors. She is a Certified Public Accountant (inactive) and a Certified Executive Compensation Professional, as designated by WorldatWork.

 

Bonnie Schindler

Bonnie Schindler is a principal at Compensation Advisory Partners LLC (CAP) in Chicago. She has more than 20 years of combined experience in consulting, human resources, and communications. Bonnie helps clients design and communicate compensation programs for executives, boards of directors, and employees. Bonnie has worked in a variety of industries, including financial services, manufacturing, transportation, real estate and non-profit. She is involved in CAP’s intellectual capital efforts and helps lead CAP’s efforts to survey private and family-owned companies about their executive and board compensation programs. 

Bonnie received an M.B.A. from the University of Chicago Booth School of Business. She received both an M.S. and a B.S. in journalism from Northwestern University. She is a Certified Executive Compensation Professional, as designated by WorldatWork.

Susan Schroeder is a partner of Compensation Advisory Partners LLC (CAP) in Los Angeles. She has over 20 years of experience advising Boards and company management on compensation strategies, performance measurement customization, and short and long-term incentive plan design. Susan’s experience includes work for Fortune 500 companies as well as smaller public, private, and non-profit organizations across many industries.

Susan received a M.B.A. from The UCLA Anderson School of Management and an A.B. in Economics from Occidental College, where she graduated with honors. She currently serves on the Board of Trustees of the National MS Society, Southern California Chapter, and the Board of Directors of The UCLA Anderson Alumni Association. She is a past member of the Board of Trustees of Occidental College, and a current member of the National Association of Corporate Directors. She earned the Certified Executive Compensation Professional designation from WorldatWork.
