What Private Companies Need to Know to Design Effective Incentive Plans

Overview

Privately held companies may not have the same exposure as public companies, but they must follow current executive compensation trends, legislation, and best practices. While the challenges and opportunities differ for each private company, executives and the board of directors must be apprised of the latest executive compensation developments, given the need to attract, motivate, and retain talent. With the increased focus on environmental, social, and governance (ESG) issues, pay transparency and pay equity, and the additional responsibilities and expanding oversight of the board of directors, many privately held companies are acting on the same issues facing public companies. Shaun Bisman and Sue Schroeder from Compensation Advisory Partners (CAP) will discuss how private companies approach current executive compensation trends and issues, including the latest on pay transparency and pay equity and the difference in roles of a board member in private vs. public companies. Susan’s experience includes work for Fortune 500 companies as well as smaller public, private, and not-for-profit organizations across many industries, including real estate, commercial and investment banking, investment management, technology, manufacturing, and professional services. Over the years, Susan has developed a particular expertise in developing incentive plans that reward for long-term value creation where publicly traded stock is not available.

Shaun Bisman is a partner at Compensation Advisory Partners LLC (CAP) in New York. He has over 15 years of experience consulting to management and compensation committees. Shaun provides compensation consulting services to both public and privately-held companies, assisting with corporate governance, peer group development, performance measurement, pay for performance validation, incentive plan design, and director compensation.
