Overview

The role of a board director during the time of transactions and transitions is multifaceted and complex. Understanding a director's individual fiduciary responsibilities, overall board composition and governance practices for diverse board expertise and perspectives and considerations for building transaction/transition team expert partners will be explored in this conversation. Moderated by James Cullen, Founder & CEO of Steeplechase Advisors LLC, who has lead hundreds of organizations through transactions & transitions and joined by experienced directors, Joe Driscoll and Dr. Sheila Riggs sharing their director experiences, all will have many takeaways to be prepared for the inevitable transitions and transactions that happen in this dynamic business environment.

Joe Driscoll Co-Founder & CEO Yellow Monday

Joe Driscoll is a seasoned CEO and business leader with a creative and entrepreneurial drive and a proven track record of success with companies ranging from start-up to mature, with small to multibillion-dollar revenue levels.

His previous experience includes:

• CEO of JL Buchanan, and President of Advantage Health and Wellness and the Beauty Center of Excellence, Advantage Solutions is a multi-billion dollar sales and marketing company.
• CEO of Pearson’s Candy Company, a 112 year old Candy Company based in St. Paul, MN.
• CEO of Kill Cliff recovery drinks a performance drinks company based in Atlanta, GA.
• SVP, Marketing – Angie’s Boomchickapop Popcorn – a snack food company now part of ConAgra.

Joe is a classically trained marketer and proudly points to his 12+ year career at General Mills as the foundation for his success as a business and brand leader.

Today Joe is the Co-Founder and CEO of Yellow Monday, a management consulting firm that advises CPG companies on their expansion and growth plans. Joe serves on the Board of Directors of Peace Coffee and is a Board Advisor for Buddha Brands.

Joe received his MBA from the University of Notre Dame and his BA from the University of Minnesota.

Dr. Sheila Riggs Chair, Primary Dental Care University of Minnesota, School of Dentistry

Dr. Sheila Riggs chairs the Department of Primary Dental Care at the University of Minnesota’s School of Dentistry. Her career journey includes helming Delta Dental of Minnesota as CEO after serving on the organization’s board for six years; executive roles at Wellmark Blue Cross & Blue Shield of Iowa and South Dakota and its Foundation. Sheila focuses on demystifying change management while leading others to execute on evolutionary strategies—often resulting in first-to-market and first-in-nation results.

Dr. Riggs currently serves on the Board of Directors of Benco Dental, Inc., a privately held $1B revenue dental distribution business in Scranton, PA, and the Cargill Foundation. Committed to the community, she has also served on the boards of the Hennepin Health System (dba HCMC), Delta Dental Plans Association, Wellmark Foundation, Women’s Health Leadership Trust, YWCA of Minneapolis, the MN Hospital Association, the Greater Twin Cities United Way and IPERS (The State of Iowa Pension Board).

Dr. Riggs completed her D.D.S. at the University of Iowa and M.S. and Doctorate of Medical Sciences in Epidemiology at Harvard University. She has completed several board development certificates at The Wharton School of Business, University of Pennsylvania.

Mr. Cullen is the Founder and CEO of Steeplechase Advisors LLC. He is a nationally recognized leader in the US middle market restructuring industry with 30+ years of experience leading companies and financial institutions in restructurings and business reorganizations in formal and informal legal proceedings. He has served in the role of Board Advisor, CEO, CRO and Investment Banker and has led and completed over 250+ restructuring, refinancing and reorganization processes in North America, Europe, Asia, and Australia for companies encountering operational and financial challenges. He is a subject matter expert and has testified as an expert witness in multiple federal and district courts throughout the United States on restructurings and sale processes. He has been federally court appointed and approved by federal bank regulators to lead and manage multiple financial institutions through reorganizations and recapitalizations while under formal federal bank enforcement actions. His extensive experience with clients spans financial institutions, public companies, privately held, equity sponsored and family- owned businesses in multiple industry sectors including retail, manufacturing, consumer products, real estate, agriculture, and financial services. Mr. Cullen is a member of the TMA, a recognized speaker and presenter, and has served on multiple continuing education panels, to the financial and legal community. He is a graduate of Trinity College Dublin, Ireland and is a dual US and EU Citizen.
