Michael Stockham
Partner
Holland & Knight

Michael Stockham routinely leads complex internal investigations on behalf of companies, board committees and individual directors, and he defends companies/directors in shareholder and securities class actions. In particular, his practice involves 1) investigations, trials and litigation arising out of financial restatements, accounting fraud and disputes over the adequacy of corporate disclosures, as well as 2) shareholder class actions and fiduciary duty disputes related to stock price drops, merger litigation and proxy fights. Mr. Stockham regularly serves as trial counsel in cases before federal and state courts around the country, and he regularly represents clients in arbitration proceedings. He is also a trusted business counselor and often provides pre-transaction and pre-litigation advice related to corporate governance and business issues for privately held and publicly traded companies. Texas Super Lawyers magazine recently named him one of the "Top 100 Overall" in the Dallas-Fort Worth metroplex. Mr. Stockham also serves as editor of the Holland & Knight SECond Opinion's Blog.

In addition to his legal skills and knowledge, Mr. Stockham is a Certified Fraud Examiner (CFE), certified by the Association of Certified Fraud Examiners (ACFE), the world's largest anti-fraud organization that specializes in the complex issues raised by corporate and white-collar fraud and provides anti-fraud training and education, as well as compliance with anti-fraud controls. He is also a Certified Compliance and Ethics Professional (CCEP), certified by the Society of Corporate Compliance and Ethics (SCCE).

For years, Mr. Stockham has been recognized by The Best Lawyers in America guide, Texas Super Lawyers magazine and D Magazine for his outstanding legal work. He is AV Preeminent Peer Review Rated by Martindale-Hubbell. He frequently speaks and authors chapters and articles on various topics, including corporate compliance; corporate governance; fraud prevention; securities litigation (10b-5, Section 11, Texas Securities Act); internal investigations; breach of contract and fraud issues; breach of fiduciary duty; Foreign Corrupt Practices Act (FCPA), Sarbanes-Oxley (SOX) and Dodd-Frank matters; partnership disputes; and other business litigation topics.

Arash Mostafavipour

Tabani Group Family Office

Arash Mostafavipour is the Chief Legal Officer and Corporate Secretary for the Tabani Group Family Office, which boasts a family of over 200 legal entities and an affiliated property manager. In his role, he oversee all legal, compliance, corporate governance and personal family investments. Tabani and its property management affiliate own, develop, operate and manage a portfolio of retail, multi-family and hotel assets nationwide.

Prior to Tabani, Arash served as the chief legal executive for Capital One Financial Services, overseeing all legal affairs pertaining to the Bank’s Mortgage and Auto Finance divisions.

Prior to joining Capital One, he served as the Executive Vice President, Chief Legal Officer and Chief Compliance Officer of Xome Holdings LLC, a PE-backed FinTech company that was a wholly-owned, subsidiary of the nation’s largest non-bank mortgage servicer (approximately $1 Trillion in MSRs) and a top mortgage originator.

Before joining Xome, Arash was the Executive Vice President, General Counsel, Chief Compliance Officer and Corporate Secretary for Carrington Mortgage Holdings, LLC, a vertically-integrated hedge-fund in the residential mortgage, servicing and asset management space.

Prior to Carrington, Mr. Mostafavipour held Vice President roles at NYSE-listed companies Healthpeak Properties Inc. (f/k/a HCP, Inc.) (NYSE: PEAK), the first healthcare REIT to join the S&P 500, and New Century Financial Corporation (NYSE: NEW), one of the largest non-prime mortgage lenders prior to the great financial crisis.

Mr. Mostafavipour began his career as a Corporate Associate with the global law firm of Gibson, Dunn & Crutcher LLP. He has a J.D. and an MBA from Georgetown University, and graduated with a B.S. from UCLA. He is licensed to practice law in the States of Texas and California.

           

Andrew Wallace

North Tarrant Express & LBJ TEXpress Lanes

Andrew Wallace is General Counsel, Chief Compliance Officer, and Secretary to the Boards of Directors for the North Tarrant Express and LBJ TEXpress Lanes, the three (3) North Texas concession companies affiliated with Cintra, US, a world leader in infrastructural development. Mr. Wallace is a member of the leadership team for Cintra’s North Texas Concessions, where he manages all of the legal affairs and compliance matters for the concessions and provides advice and counsel to the Executive Team, the Compliance Committee, and the Boards of Directors. Mr. Wallace graduated from Georgetown University where he received his undergraduate degree in Government/International Relations. He graduated from Georgetown University Law Center, and received his MBA from the University of Texas at Arlington. He and his wife, Laurie, have a son, Lawson, and reside in Frisco, Texas.

Cortland Kelly Grynwald

Cortland excels in legal, risk, compliance, and board search for public, private, and municipal enterprises. As an attorney herself, she understands the nuances of how legal and quasi-legal leadership succeeds in corporate environments. She leverages this insight in serving her clients and has been doing so for over fifteen years, building a broad national network of contacts. She holds her J.D. from the University of Virginia ('99) and a B.F.A. in Theatre (summa cum laude) from Virginia Commonwealth University.

Cortland was a practicing attorney for over six years, first with the firm of Lowndes, Drosdick, Doster, Kantor & Reed, P.A. in Orlando, Florida, where she gained diverse experience in land use, commercial real estate leasing, commercial and real estate litigation, bankruptcy, creditors' rights, and commercial loan workout matters. Cortland then moved to Dallas in 2002, and joined the prestigious law firm of Carrington Coleman, focusing on bankruptcy and commercial litigation.

Cortland joined Pearson Partners in December 2019 and leads the CLO/General Counsel, Legal, Compliance and Risk practice, recruiting executive-level professionals for corporations domestically and internationally in all industries. She also specializes in plan of succession searches for internal legal departments (DGC/AGC and Assistant CO level) and is a member of the firm's Board of Directors search team.
