The Unveiling the Imperative: PDA Symposium on Cybersecurity and AI Governance is an immersive program designed to explore the critical intersection of cybersecurity and AI governance within the context of private company directorship. This symposium will feature expert panel discussions, illuminating organizational, educational and cultural governance challenges and ethical considerations surrounding the integration of AI technologies and robust cybersecurity measures. Participants will gain valuable insights into navigating the dynamic landscape of digital security, fostering an understanding of how private directors can play a pivotal role in shaping resilient and ethically sound governance frameworks.

After standing up and leading the cybersecurity oversight function for an NYSE company for seven years, I have a passion for cybersecurity oversight and want to play a board role in closing the cybersecurity governance gap.

Boards certainly feel the need to become more engaged with cybersecurity governance, but, given the size, complexity, and chaotic nature of cyber risk-now amplified by AI-they often struggle to find a roadmap to engage and deliver effective oversight. Boards must become proactive to meet this challenge or face regulatory penalties and unknown and potentially major consequences of remaining reactive. There are no easy "check-the-box" solutions.

Effective cybersecurity governance starts with: 1) Organizing your enterprise to take the cybersecurity offensive; 2) Educating the Board and C-Suite to develop a sufficient enterprise-wide systems knowledge required to govern the interactions of your enterprise's assets and digital systems, and; 3) Developing an enterprise-wide cybersecurity culture. The implementation of these steps will go a long way to closing the governance and communications gap between Boards, the C-Suite and CISOs.

In addition to cybersecurity oversight, I am interested in Board positions which demand multi-functional oversight skills. I have served as the lead director of an NYSE company, and also led or been a member of the audit, compensation, nominating/governance, special planning and ad hoc M&A committees.

Beyond my Board work, my career has been dedicated to capital formation, M&A, financial restructurings, corporate development in an advisory role and as an entrepreneur and principal. I have started, built and grown companies through internal growth and acquisitions.

The foundation of my understanding of cyber risk is rooted in my experience serving in the US Navy where I supervised complex systems associated with shipboard nuclear reactor operations.

Jeff Sauntry is the CEO of Risk Neutral, an integrated risk management (IRM) advisory firm. A results-focused board member and senior executive with experience in publicly traded, private, and not-for-profit organizations. Strategy development and commercial operations leader for professional services and information technology firms deploying enterprise software, artificial intelligence, and integrated hardware platforms. Global critical infrastructure protection
responsibilities for telecommunications, financial services, transportation, logistics, engineering, construction, and manufacturing. Previously, he led commercial operations for Fortune 500 firms, Synopsys (Software Integrity Group), AT&T, Computer Associates, Unisys, Novell, PWC & KPMG.

Jeff’s board experience includes Irvine Sensors (NASDAQ: IRSN), The Prowess Group, and Invision Communications. Jeff is the immediate past President of the Tampa Bay Private Directors Association (PDA), a member of the CEO Search Committee, and co-author of the soon-to-be-released Military/Public Servant/Law Enforcement Transition to Compensated Board Service course. He is an NACD (National Association of Corporate Directors) Certified Director,
Leadership Fellow, and Cyber Risk certified. He is a member of NACD- BAS (Board Advisory Services), Cybersecurity Masterclass, and Battlefield to Boardroom faculty advising boards on integrated risk management, cybersecurity, kinetic threats and trusted AI opportunities and challenges.
