Employee Stock Ownership Plans (ESOPs), are a unique tax advantaged strategy for founder succession.  Essentially a retirement plan owns the company with a third party trustee overseeing the company and board are acting for the benefit of plan participants.  This highly experienced panel will discuss 

1.  The  corporate board’s responsibilities when owned by a retirement plan.  Key understandings include attracting and retaining exceptional leadership, deep governance understanding of the additional responsibilities to “duty of care” and the “Erisa fiduciary standard”.
2.  ESOP market trends including (1) growth in ESOP formation and why (2) overview of ESOP tax benefits to incent business owners to think about an ESOP as an alternative (3) importance of seller, management, and individual wealth planning (4) current tailwinds and headwinds around employee ownership ‘
3.  Why important to PDA:  When ESOPs are formed, and when they succeed and grow, good governance including outside directors are a key ingredient to success. 

Immediately following the event, join us after the event for an intimate dinner with the event's panelists. Network with fellow PDA members and delve deeper into the panel discussion's topics. The dinner will be held at Pazzo's (311 S. Wacker Dr.), from 7:30-9:30pm CT.  $60 a person for 3 course dinner.  Pre-registration is required as we will have the restaurant open exclusively for PDA.

Mary Josephs
Director

Mary Josephs is a recognized authority on family and private company finance, governance and employee stock ownership plans. She has 30-plus years of experience assisting 300 ownership transitions for middle-market companies.

Before starting Verit Advisors in 2009, she founded LaSalle National Bank’s ESOP group and later led Bank of America-Merrill Lynch’s ESOP Solutions Group. 

Mary is a director of Manson Construction and Performance Contracting. Mary is on the Advisory Board of ESCA and a lifetime member of the Board of Governors of the ESOP Association.

Mary was selected as one of the Most Influential Women in Mid-Market M&A by Mergers & Acquisition publication. Chicago Crain’s recognized her as a Notable Entrepreneur in 2019 and Private Board Directors magazine named Mary a Director to Watch in 2019.

Don Delves is a Managing Director in the Executive Compensation Line of Business and leads the Executive Compensation Practice for North America. Based in Chicago, Don is a leading expert and highly sought-after consultant and speaker on corporate governance and executive pay and performance, with more than 20 years of experience consulting with major corporate boards and executive teams across the country. Don previously led Willis Towers Watson’s Closely Held Business Practice and is a recognized expert on principles-based corporate governance, incentive design, performance measurement and value creation.

Don is frequently interviewed and cited as an expert in major media including Harvard Business Review, Fortune, The New York Times, The Wall Street Journal, Fox Business News, The Today Show, CNBC and NPR. 

Don is a CPA and holds a Doctorate in education in principles-based corporate governance from Fielding Graduate University, an M.B.A. degree in Finance from the University of Chicago and a B.A., summa cum laude, in economics from DePauw University. He writes and speaks regularly on executive pay and governance at a variety of organizations including the University of Chicago, Northwestern University, Equilar, NACD, and NASPP. Don serves on the board of The Metropolitan Club of Chicago and The Advisory Council of The 100 Year Starship.

He served on the board of the Private Directors Association and as past President of the Chicago Compensation Association.

 

Ann Kim

Ann is an accomplished ESOP executive with 20+ years of experience in a multitude of industries. Prior to joining The ESOP Group at Morgan Stanley, she was the General Counsel and Chief Administrative Officer at a $500MM employee-owned company. Prior to her tenure in private industry, Ann was a Partner at Katten Muchin as Head of the ERISA practice.

Ann brings end-to-end knowledge in several matters involved within an ESOP, accompanied with exemplary legal and financial acumen as former attorney and accountant at well established firms. She will work with advisors and business owner clients to navigate the complexity of an ESOP and assist business owners in avoiding common pitfalls.

He graduated Kettering University with a BS in Mechanical Engineering and followed that with an MBA – with a finance concentration – from Walsh College. After joining Morgan Stanley, I obtained my Certified Financial Planner® designation, which further forged my capabilities in developing practical applications for the organizations and individuals I work with every day.

In his personal life, he resides in Deerfield, Illinois, with his wife and two children. He enjoys giving back to the community by volunteering as a coach for youth sports in Deerfield, and as a board member for local nonprofit organizations.
